West-Ward Pharmaceuticals Corp., the sixth largest generic pharmaceutical company in the United States, providing pharmaceuticals to chain stores, wholesalers, distributors, health systems and government agencies, seeks a Senior Corporate Counsel for its Eatontown, New Jersey headquarters.

The Senior Corporate Counsel will report to and work closely with the VP of Legal Affairs (General Counsel) located in Eatontown. The Senior Corporate Counsel will be responsible for assisting the VP of Legal Affairs in the management of legal affairs for West-Ward Pharmaceuticals and its United States affiliates.

The Senior Corporate Counsel will provide legal perspective and advice in order to assist internal stakeholders to achieve business objectives and make business decisions in compliance with applicable laws and regulations. Responsibilities of the Senior Corporate Counsel will be wide ranging and will include serving as a trusted business partner who will counsel stakeholders with respect to business initiatives, corporate transactions, regulatory and compliance matters, manufacturing issues, commercial contracts, sales, marketing, and advertising.

It is expected that the Senior Corporate Counsel will have familiarity with the overall regulatory framework under which a pharmaceutical company and a generic manufacturer operates.

Background and Required Legal Experience:

A Juris Doctor Degree and admission to and in good standing with the bar of at least one state (preferably New Jersey) and eligibility to practice law in-house in New Jersey are required. Candidates should have strong academic credentials and 10-14 years’ experience, which should include experience with a top law firm counseling pharmaceutical and/or life science clients, in-house experience with pharmaceutical and/or life science companies, or both. Prior experience working with or for a generic pharmaceutical company is highly desirable.

The candidate must be able to demonstrate the ability to provide sound, ethical legal advice on a broad range of issues affecting the Company. Excellent organizational, presentation, and oral and written communication skills are required. Strong ability to coordinate project, balance multiple priorities and work with cross functional groups is required. Demonstrated passion for one’s work is required. The ability to work closely with business under tight deadlines is required.

Candidates must have:

  • Experience drafting and negotiating various commercial agreements such as product development, contract manufacturing, supply, vendor, distribution, consulting, services, confidentiality, R&D and licensing agreements; and

  • Experience with corporate transactions (mergers, acquisitions, joint ventures) and litigation.

Preferred candidates would have:

  • Hands-on knowledge of various areas of the law including those affecting the commercial sales and marketing activities of the Company, including the Federal Anti-kickback Statute (and associated regulatory safe harbors), False Claims Act, state fraud and abuse laws, UCC, FDCA; and

  • Experience with FDA regulatory matters and price reporting (Medicaid Best Price, AMP, ASP), Medicare/Medicaid rebate issues including 340B and Federal Ceiling Pricing and other related areas.

Up to 20% travel is required.

The position requires a “roll-up-your-sleeves” attitude and ability to work “hands-on” at all levels – taking full responsibility for your workload and its timely and effective delivery within the Company. The candidate must be pro-active, self-motivated, detail oriented, hands-on professional.

The candidate must also have the ability and desire to assume a leadership position where appropriate and be able to think laterally in the context of business situations to get practical results.

Excellent oral and written communication skills, superb client relations skills and a demonstrated ability to analyze, assess and articulate legal implications and risks of multi-dimensional and complex issues are a must.
